The agreement
These Terms form a binding contract between you ("you", "your", or "Customer") and Mail Genius Ltd, a company registered in England & Wales (company number 17183230) with registered office at 71-75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom, trading as "GenieOS" ("we", "us" or "our").
They incorporate by reference our Privacy Policy, our Sub-processors list, our Security commitments, and the plan, credit and pricing details published on our pricing page and in your in-app billing settings. Where you process personal data of EU/UK individuals through GenieOS, our Data Processing Addendum (available on request from [email protected]) also applies and prevails over these Terms to the extent of any conflict on data-protection matters.
Who can use GenieOS
You may use GenieOS only if you can form a binding contract with us, are at least 16 years old, and are not barred from using the service under the laws of your country or any country in which we operate.
Accounts & workspaces
GenieOS is organised into accounts (an individual person who signs in) and workspaces (a shared environment where a team creates, collaborates, and spends credits). One person's account can belong to several workspaces; a workspace can contain many members with different roles.
- The workspace owner is responsible for everything that happens in the workspace, including the actions of members and any pending invitees they add.
- You're responsible for everything that happens under your individual account. Keep your credentials confidential, and if you suspect your account has been compromised, tell us immediately at [email protected].
- You must give us accurate information when you sign up and keep it up to date.
- We may refuse, suspend, or terminate accounts or workspaces that breach these Terms or our Acceptable Use Policy.
Plans & how pricing works
GenieOS has two pricing axes that combine: an individual-account plan that travels with each person, and an optional workspace plan that unlocks shared features and a team credit pool. The full, current details — prices, credit allowances, and feature breakdowns — live on the pricing page and in Settings → Billing, and those are the canonical commercial terms.
Individual account plans
- Spark — the free, pay-as-you-go entry point. You get a one-off allowance of Spark Credits to try the product, and after that you pay only for what you use (see Spark Credits below) by topping up.
- Glow — a paid individual licence (a recurring fee per person) that unlocks premium models and capabilities, includes a recurring monthly credit allowance, and lets that person spend a paid workspace's shared credits. A Glow licence is tied to the person and works in every workspace they join.
Workspace plans
- Ignite, Star and Constellation are workspace subscriptions. A workspace can also operate with no workspace plan at all — its members simply use their own individual plans and pay-as-you-go credits.
- A workspace plan unlocks additional workspace-level features and comes with a matched credit commitment — a shared pool the whole team draws on — so a team pays for shared infrastructure once rather than per seat.
- Constellation is a custom, sales-assisted plan; its commercial terms are agreed in a separate order form or statement of work, which prevails over the self-serve terms on this page where they conflict.
Whichever combination you choose, both axes sit on top of the same usage-based credit meter. A plan is what you pay to have access and an allowance; credits are what you spend as you actually use the product.
Spark Credits & usage charges
Almost everything you do in GenieOS that has a real, variable cost behind it is metered in a single unit we call a Spark Credit. One credit is consumed when you use a metered surface, including (without limitation):
- AI text and image generation — drafting, editing, the Genie assistant, image and vector creation, brand extraction, and similar AI work, which maps to the tokens or generations we buy from large-language-model and image providers;
- Sending and publishing — emails delivered through our managed relay, and posts published to connected social platforms (for example X), which map to delivery and platform/relay costs;
- Analytics and developer surfaces — page and email analytics queries, and calls to our developer API / MCP, and other metered features we add from time to time.
Credits map to underlying service costs. The amount of credit a given action consumes reflects the cost of the underlying third-party services it relies on (model tokens, image generations, email delivery, social-platform publishing, and so on). Per-action credit costs are shown on the pricing page and in the product, and may change as our underlying costs and models change; material changes are notified under Changes to these terms.
How credits are granted, spent, and expire:
- Allowance credits included with a plan are granted at the start of each billing cycle and do not roll over — unused allowance is lost at the end of the cycle.
- Top-up credits you purchase (manually or via auto top-up), and workspace credit tranches, are separate from the recurring allowance. Workspace credit tranches expire 12 months after purchase; individual top-ups persist while your account or subscription remains active. Exact behaviour is shown in
Settings → Billing. - Spend order. Where both are available, your individual credits are spent before a paid workspace's shared pool.
- Auto top-up. You may enable auto top-up so that credits are purchased automatically when your balance falls below a threshold you set. Auto top-up is subject to per-period caps you control, and we email a receipt on every automatic charge. You can change or disable it at any time in
Settings → Billing. - Credits are not money. They have no cash value, are not a deposit, cannot be transferred or exchanged for cash, and are usable only within GenieOS.
- Consumed credits are non-refundable except where required by law, because each consumed credit corresponds to a third-party cost we have already incurred on your behalf. Unused, unexpired purchased credits may be refundable on account closure at our discretion or where the law requires.
Billing, renewals & taxes
- Recurring plan fees (Glow, and the workspace plans Ignite / Star / Constellation) are charged in advance and renew automatically at the end of each billing period unless you cancel before the renewal date from
Settings → Billing. - Paid plans require a valid payment method on file. Payments and tax are processed by Stripe; we never see or store your full card number.
- Recurring fees are non-refundable except where required by law, and we don't pro-rate the unused portion of a period you've already paid for. Pay-as-you-go and top-up credit charges are governed by the credits section above.
- All fees are exclusive of VAT and any other applicable taxes, which we add to your invoice where required.
- We may change plan prices, credit rates, or per-action credit costs on at least 30 days' notice; price-increase changes to recurring plan fees take effect from your next renewal.
- Failed payments may result in suspension, a halt on credit-consuming actions, or downgrade after a grace period. We'll always show you the reason and a one-click way to fix it before access is restricted.
If you are a consumer
If you are an individual using GenieOS wholly or mainly outside your trade, business, craft or profession, you are a "consumer" and have additional rights under English law, including the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Nothing in these Terms affects those rights.
- 14-day cancellation right. You normally have 14 days from signing up to a paid plan to cancel for a refund of that plan fee.
- Digital content / immediate supply. GenieOS is supplied immediately and is consumed as you use it. By starting to use a paid plan or by spending credits within the 14-day window, you ask us to begin supply straight away and acknowledge that you lose the right to cancel for a refund of any plan fee or credits already consumed. Any unused, unexpired purchased credits remain refundable to the extent the law requires.
Free entry & trials
Spark's free credit allowance, and any other free trial or promotional credit, are offered at our discretion and may be changed or withdrawn at any time. We'll never charge a recurring plan fee or auto top-up without you first putting a payment method on file and opting in — there's always an explicit step before money moves.
Acceptable use
You agree not to use GenieOS to:
- Send unsolicited bulk email ("spam"), or publish or distribute any message that violates the UK Privacy and Electronic Communications Regulations (PECR), the EU ePrivacy Directive, the US CAN-SPAM Act, or equivalent local laws
- Contact recipients who haven't given consent, who have unsubscribed, or whose details you obtained from third-party data brokers, web scraping, or purchased lists
- Distribute malware, phishing content, fraudulent material, or anything that promotes illegal activity, hate, harassment, or violence
- Publish or send adult content, gambling, "get-rich-quick" schemes, multi-level marketing, unsolicited cryptocurrency promotions, or anything our sending, publishing, or AI providers prohibit
- Misrepresent the sender or author, forge headers, impersonate others, or remove unsubscribe links and physical addresses required by law
- Reverse-engineer, copy, or attempt to derive the source code of GenieOS, except to the extent permitted by mandatory law
- Probe, scan, or test the vulnerability of our infrastructure outside the scope of our published vulnerability disclosure programme, or use the service to build a competing product
- Resell GenieOS without a written reseller agreement
We may suspend publishing, sending, or other credit-consuming actions immediately if activity causes spam complaints, blocklisting, platform penalties, or material harm to our infrastructure, our reputation with providers, or to recipients.
Your content
You keep all rights to your templates, posts, pages, designs, contacts, brand assets, prompts, and the content you create, publish, or send ("Customer Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, process, render, and display Customer Content solely as needed to provide, secure, and improve the service and to pass it to the third-party services you direct us to (for example an AI model, a sending provider, or a social platform).
You're responsible for the legality of your Customer Content and for ensuring you have the lawful basis and the rights to use it and to contact each recipient on your lists.
Connected accounts & third parties
GenieOS connects to third-party platforms on your instruction — for example social networks such as X, your own email-sending provider, analytics destinations, and other integrations you authorise. When you connect one:
- You authorise us to access and use that account through its API solely to perform the actions you ask for (e.g. publishing a post, sending a message, reading performance data).
- You must comply with that platform's own terms and policies in addition to ours. We are not responsible for a third-party platform's availability, rate limits, content rules, pricing, or decision to suspend or restrict your account there.
- Actions that rely on a third-party platform consume credits that reflect the underlying cost of that integration (see Spark Credits), in addition to anything you pay the platform directly.
- You can disconnect an integration at any time; doing so may stop dependent features from working.
AI features
GenieOS includes AI-powered features (content and image generation, the "Genie" assistant, brand and strategy tooling, and more). When you use them:
- The prompts you submit and the resulting outputs are processed by us and our AI sub-processors (which currently include Anthropic, Google, OpenAI and others — see sub-processors).
- We do not permit our AI sub-processors to use your prompts or outputs to train their foundation models. Where the underlying provider offers an opt-out or zero-data-retention endpoint, we use it.
- AI output is generated probabilistically. You're responsible for reviewing it before you publish or send. We don't warrant that AI output is accurate, original, fit for purpose, or free of third-party rights.
- You may not use AI features to generate content that infringes intellectual property, defames anyone, or violates the Acceptable Use Policy.
Publishing, sending & distribution
You can distribute content through GenieOS in several ways — sending email via our managed relay or your own connected provider (Resend, Postmark, SES, Sendgrid, Mailgun, etc.), publishing landing pages and sites, and posting to connected social platforms. Whichever you use:
- You must comply with the relevant provider's or platform's terms in addition to ours.
- Before sending production email volume you must authenticate your sending domain (SPF, DKIM, and a valid DMARC record).
- Your sending may be rate-limited or paused if it produces a complaint rate above 0.1% or a hard-bounce rate above 5% over any rolling 24-hour window.
- Every email campaign must include an unsubscribe link and a physical mailing address. We insert defaults; you may not remove them.
Our intellectual property
GenieOS, the wordmark, the spark, the brand system, the documentation, and the underlying software are owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable licence to use the service for your own business or personal purposes during your subscription or while your account is active. We reserve all other rights.
We may use your name and logo to identify you as a customer in our marketing unless you tell us not to. To opt out, email [email protected].
Beta features
From time to time we'll offer features marked "beta", "preview", or similar. Those features are provided "as is", may be changed or withdrawn at any time, and are excluded from any uptime commitment.
Termination
You can cancel a subscription at any time from Settings → Billing. We may suspend or terminate your access if you materially breach these Terms or the Acceptable Use Policy and fail to remedy within 14 days of notice (or immediately for security, abuse, or legal reasons).
On termination we'll keep your workspace data for 30 days so you can export it, after which we delete it from production systems and (within a further 30 days) from backups. Unused, unexpired purchased credits are handled as set out in the credits section.
Warranties & disclaimers
We warrant that we'll provide the service with reasonable skill and care. To the fullest extent permitted by law, all other warranties — express or implied, including merchantability, fitness for a particular purpose, and non-infringement — are disclaimed.
GenieOS is not a system of record for legally significant communications. You shouldn't use it where downtime, delay, or error could cause death, personal injury, or material financial loss.
Limitation of liability
Nothing in these Terms limits liability that cannot be limited under English law (including for death or personal injury caused by negligence, for fraud, or — if you are a consumer — your non-excludable statutory rights).
Subject to that:
- Neither party will be liable for any indirect, special, incidental, consequential, or punitive damages, or for loss of profit, revenue, goodwill, or data.
- Each party's aggregate liability arising out of or in connection with these Terms will not exceed the greater of (a) the fees you paid us in the 12 months immediately preceding the event giving rise to the claim, or (b) £100.
Indemnity
If you are a business customer, you'll indemnify us against any third-party claim arising from (a) your Customer Content, (b) your use of the service in breach of these Terms or the law, or (c) any claim that something you sent or published through us was unsolicited or unlawful.
Changes to these terms
We may update these Terms from time to time. Material changes take effect 30 days after we notify workspace owners and update the "Last updated" date. Continued use of the service after that date is acceptance of the new Terms. If you don't agree, you may stop using the service and cancel before the change takes effect.
Governing law & disputes
These Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes), are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that (i) we may seek injunctive relief in any court of competent jurisdiction to protect our intellectual property or confidential information, and (ii) if you are a consumer, you may also bring proceedings in the courts of the part of the UK in which you live and rely on the mandatory laws there.
